This Policy governs all authorized:
Resellers
White-Label Partners
Franchise Partners
Distribution Partners
(Collectively referred to as “Partners”, “You”)
It forms part of the Master Service Agreement (MSA) and Terms & Conditions.
1. Partner Authorization Levels
Authorization is granted based on Partner Program enrollment and written approval.

Unauthorized representation is strictly prohibited.
2. Franchise Rights & Obligations (New Section)
Franchise Partners are granted:
Exclusive or semi-exclusive territorial rights
Access to business ecosystem, operational playbooks & marketing assets
Lead allocation (where applicable)
Local recruitment and client management rights
Use of "Powered by CJDMS" branding (optional)
Franchise Fees (if applicable):

One-time Franchise License Fee

Monthly / Annual Royalty Fee

Performance-based revenue share
Partner must follow:
Local compliance laws
CJDMS brand and operational playbooks
Ethical marketing guidelines
No sublicensing or territory reselling without CJDMS approval.
3. Intellectual Property (IP) Protection
All tools, software, processes, learning modules, and branding assets are owned solely by CJDMS.
Usage is granted under a limited, revocable license.
Reverse engineering, copying, or unauthorized duplication is strictly forbidden.
4. Sales, Pricing & Payment Rules
Pricing must follow published MRPs for franchise territories (if defined)
Partners may set pricing independently for local markets where allowed
GST/VAT/local taxes remain partner responsibility
Non-payment can revoke partnership rights

5. Customer Relationship Ownership

Franchise partners must:
Ensure quality delivery.
Handle escalations collaboratively with CJDMS.
Adhere to SLA commitments
6. Data Protection & Compliance
All partners must comply with:
GDPR
CCPA
India DPDP Act 2023
Local advertising & privacy laws
Any misuse of client data may result in immediate termination without refund.
7. Brand Usage Guidelines
Only approved marketing assets may be used
White-label partners must remove CJDMS brand (unless permitted)
Franchise partners must follow brand consistency rules. No fake income guarantees / misleading claims

Marketing audits may be conducted anytime.
8. Support & Service Responsibilities

9. Termination Clause
Partnership may be suspended or terminated when:
Compliance violations occur
Non-payment continues beyond grace
Brand misuse or reputation damage happens
Unauthorized sublicensing or region violations
Upon termination:
Access revoked
Branding must be immediately removed
Data must be securely transferred to CJDMS or client
10. Liability Limitation
CJDMS is not responsible for:
Partner’s operational issues
Third-party vendor failures
Loss of business or profits
11. Policy Updates & Governing Law
This policy may be updated anytime.
Disputes fall under exclusive jurisdiction of: Bhuj (Kachchh), Gujarat – India
