These Terms & Conditions ("Terms") govern your access to and use of the website, products and services offered by CJDMS – CJ Digital Marketing Services ("CJDMS", "we", "our", "us"). By accessing or using our website, subscribing to our SaaS offerings, purchasing services, joining affiliate/reseller/franchise programs, or otherwise interacting with us, you agree to be bound by these Terms. If you do not agree, do not use our services.

1️⃣ Definitions & Scope

Services means any SaaS platform, digital marketing, automation, consultancy, affiliate offers, franchise/reseller programs, white-label services, training, or other products supplied by CJDMS. User/Client/Customer refers to any individual or legal entity using CJDMS services. These Terms apply to all Services unless superseded by a separate written agreement (e.g., Master Service Agreement, Franchise Agreement).

2️⃣ Eligibility & Account Registration

Who May Use

To use our services you must be at least 18 years old and legally capable of entering into a contract. Business entities must authorize a representative with authority to bind the entity.

Account Responsibility

Account holders are responsible for accurate registration information and for maintaining confidentiality of credentials. You are responsible for all activity under your account.

3️⃣ Services, Subscriptions & Deliverables

SaaS & Subscriptions

SaaS products are licensed, not sold. Subscriptions grant a non-exclusive, non-transferable license to use the software according to the chosen plan. Features, quotas, and support terms depend on the plan selected.

Managed Services & Campaigns

Digital marketing campaigns, automation setups, creative work, and managed services are delivered according to project scopes. Delivery timelines are estimates and depend on client cooperation, third-party approvals, and ad platform processes.

Affiliate / Reseller / White-Label Programs

Participation requires a separate program agreement. Commissions, eligibility, tracking rules, payout schedules, and compliance requirements are governed by those agreements and the RWF Policy.

Franchise & Licensing

Franchise or territorial rights are provided under distinct Franchise Agreements. Franchisees must comply with onboarding, reporting, royalties, brand guidelines, and performance KPIs as specified in the applicable agreement.

4️⃣ Orders, Pricing & Payment Terms

Fees & Billing

All fees for services, subscriptions, setup, training, franchise license, renewal and any applicable taxes are outlined in invoices and order confirmations. Prices may be updated; existing paid periods are honored.

Payment Methods

We accept payments via approved third-party processors (Stripe, PayPal, Razorpay, etc.). Payment details are handled by processors; CJDMS does not store full card numbers.

Late Payments & Suspensions

Late payments may incur interest or penalties. Non-payment may result in suspension or termination of services until accounts are brought current.

5️⃣ Refunds, Cancellations & Trials

Refund and cancellation rules are provided in our Refund & Cancellation Policy. Generally, due to digital delivery, fees for SaaS subscriptions, digital products, franchises, and services are non-refundable except in specific, documented cases (e.g., duplicate charges, proven processor error). Free trials convert to paid plans if not canceled before the trial expiry.

6️⃣ Intellectual Property

Ownership

All intellectual property rights in CJDMS platforms, software, documentation, templates, processes, methodologies, branding, and content remain the exclusive property of CJDMS or its licensors.

License Restrictions

Clients and partners receive a limited, revocable license to use deliverables for internal business purposes unless a separate written license grants broader rights. You must not copy, modify, distribute, reverse-engineer, sublicense, or create derivative works except as expressly permitted.

7️⃣ Data, Privacy & Security

Data processing is governed by our Privacy Policy and DPSC Statement. Clients are responsible for lawful collection of end-user data and must obtain consents required by applicable laws (GDPR, CCPA, DPDP). Security measures and data handling practises are outlined in our Data Processing & Security Compliance Statement.

8️⃣ Service Levels & Support

SaaS uptime targets, support response times, maintenance windows, and service credits (where applicable) are defined in our Service Level Agreement (SLA). Support availability varies by plan; premium or enterprise tiers may receive elevated SLAs and dedicated support channels.

9️⃣ Third-Party Tools & Integrations

CJDMS may integrate third-party services (ad platforms, analytics, payment gateways, CRMs). Those services are subject to their own terms and separate privacy policies. CJDMS is not liable for third-party outages, policy changes, or termination.

🔟 Warranties & Disclaimers

To the fullest extent permitted by law, CJDMS provides services "as-is" and disclaims all warranties, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee specific results (traffic, rankings, revenue) from marketing activities.

1️⃣1️⃣ Limitation of Liability

Except where prohibited by law, CJDMS's total aggregate liability to you for any claim arising out of these Terms will not exceed the total fees paid by you to CJDMS in the three (3) months preceding the claim. CJDMS is not liable for indirect, incidental, consequential, or punitive damages.

1️⃣2️⃣ Indemnification

You agree to indemnify, defend, and hold harmless CJDMS and its officers, directors and employees from any claim, loss, damages, liabilities, costs and expenses (including reasonable legal fees) arising from your use of the Services, breach of these Terms, or violation of applicable law.

1️⃣3️⃣ Confidentiality

Each party shall keep confidential all non-public information disclosed by the other party and shall not use such information except as necessary to perform the Services. Confidentiality obligations survive termination.

1️⃣4️⃣ Term, Suspension & Termination

Term

These Terms commence on the Effective Date and continue until terminated in accordance with the agreement governing the specific Services.

Suspension & Termination

CJDMS may suspend or terminate access in case of breach, non-payment, security risks, illegal activity, or at its discretion for material reasons. Upon termination, outstanding fees remain payable and any licensed access will cease. Post-termination data handling will follow the Data Retention & Deletion rules in the Privacy Policy.

1️⃣5️⃣ Reseller, White-Label & Franchise Terms

Reseller, White-Label and Franchise arrangements are governed by separate agreements and the RWF Policy and Franchise Master Agreement. Partners must adhere to brand guidelines, pricing rules, reporting, and compliance obligations. CJDMS reserves the right to audit partner compliance and revoke rights for breaches.

1️⃣6️⃣ Marketing & Affiliate Conduct

Affiliates and partners must not engage in misleading marketing, spam, or unethical practices. Affiliate payouts are conditional on verification of legitimate activity. Abuse, fraud, or violation of ad platform policies may lead to withholding of commissions and termination.

1️⃣7️⃣ Dispute Resolution

In the event of dispute, parties will attempt good-faith negotiation and escalation. Where unresolved, disputes will be subject to the exclusive jurisdiction of courts in Bhuj (Kachchh), Gujarat, India, and governed by the laws of India. Parties may, by mutual agreement, choose mediation or arbitration prior to court action.

1️⃣8️⃣ Changes to Terms

CJDMS may update these Terms from time to time. Material changes will be posted on this page with a revised effective date and, where required by law, notified to account holders. Continued use after changes indicates acceptance where permitted.

Notices should be sent to the registered contact addresses set out in account profiles or to support@cjdms.digital. Notices are effective upon receipt.
